If you acquired the Software in Australia, New Zealand, or Asia (excluding the Middle East), you are in a contractual relationship with HTC Corporation and the interpretation of this Agreement will be governed by the laws of Taiwan, which apply to claims of infringement, notwithstanding its conflict of laws principles. All other claims, including claims under consumer protection laws, unfair competition laws, and civil tort claims, will be governed by the laws of your country of residence. You irrevocably recognize the Taipei District Court as the court of first instance having jurisdiction over any disputes arising out of or in connection with this Agreement.
LEGAL VALUE... This Agreement does not change your rights under the laws of your country of residence if the laws of your country do not allow it to legally change your rights. You may have rights under the laws of your country of residence that are in addition to or different from the rights set out in this Agreement.
COMPLIANCE WITH THE LAW; EXPORT RULES... You must comply with all national and international laws, rules and regulations that apply to the software and your use of the software, including the United States Export Administration Regulations (which apply to software), and restrictions on end users, end use and shipping regions, issued by the US government or other countries. You acknowledge that the origin of the Software is the United States.
GENERAL PROVISIONS... The section titles in this Agreement are used solely for the convenience of the parties and have no legal or contractual meaning. HTC's failure to act with respect to a violation you commit does not invalidate HTC's right to act with respect to subsequent or similar violations. A waiver of any provision of this Agreement is null and void unless it is in writing and signed, and any such waiver does not imply a waiver of any other provision or otherwise of the same provision. If the court recognizes any condition, obligation or limitation of this Agreement as illegal, invalid or unenforceable, the remaining terms, obligations and limitations will remain in full force and effect, and this will in no way affect their usefulness and consistency. ... You may not assign, transfer or sublicense your rights (if any) under this Agreement. This Agreement remains binding on all successors and assigns of HTC.
ENTIRE AGREEMENT... This Agreement and any additional terms provided with any Updates constitute the entire agreement regarding the Software. Internet and support services, if any, may be subject to additional terms.
GRACENOTE ® END USER LICENSE AGREEMENT This application contains software developed by Gracenote, Inc., based in Emeryville, California, USA ("Gracenote"). The Gracenote Software (hereinafter "Gracenote Software") allows the application to identify discs and files and retrieve music information (hereinafter "Gracenote Data"), including title, artist name, track number, and title, from servers on the Internet or embedded databases ("Gracenote Servers"); and other functions. Gracenote data may only be used with the intended end-user functionality of this application or device.
You agree to use the Gracenote Data, the Gracenote Software, and Gracenote Servers for your personal, non-commercial use only. You agree not to assign, copy, or transfer the Gracenote Software and any Gracenote Data to third parties. YOU AGREE TO USE THIS GRACENOTE SOFTWARE AND THE GRACENOTE SOFTWARE AND THE GRACENOTE SERVERS ONLY ON THE TERMS OF THIS AGREEMENT.
You agree that if you violate these restrictions, your non-exclusive license to use Gracenote Data, Software Gracenote and Gracenote Servers will be terminated. Upon termination of the license, you agree to cease all use of the Gracenote Data, the Gracenote Software, and Gracenote Servers. Gracenote retains all rights, including proprietary rights, in the Gracenote Data, Gracenote Software, and Gracenote Servers. Under no circumstances will Gracenote be responsible for payment for any information you provide. You agree that Gracenote, Inc. on its own behalf, may require you to comply with these rights in accordance with this Agreement.
The Gracenote Service uses a unique request tracking ID for statistics purposes. The arbitrary assignment of a numeric identifier allows the Gracenote service to count requests without obtaining personal information about the user. For more information, see the Gracenote Service Privacy Policy web page at www.gracenote.com.
The Gracenote Software and each component of Gracenote Data are provided for your use AS IS. Gracenote makes no representations or warranties, either express or implied, as to the accuracy of any Gracenote Data on the Gracenote Servers. Gracenote reserves the right to change the category of Data or to remove it from its servers for any reasonable reason. Gracenote does not guarantee the error-free or uninterrupted operation of the Gracenote Software or Gracenote Servers. Gracenote is under no obligation to provide the user with any new improved or additional types or categories of Data that Gracenote may choose to provide in the future, and reserves the right to discontinue service at any time.
GRACENOTE DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS AND MERCHANTABILITY GRACENOTE DOES NOT WARRANT YOU WILL OBTAIN RESULTS FROM THE GRACENOTE SOFTWARE OR GRACENOTE SERVERS. UNDER NO CIRCUMSTANCES IS GRACENOTE LIABLE FOR ANY ACTUAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS OR LOST PROFITS.
